Terms of Service

These Terms of Service ("Terms") govern your access to and use of Nuanso, a marketing analytics platform operated by Sam Van Nuffel ("we", "us", or "our"). By creating an account or using our services, you agree to be bound by these Terms.

Nuanso is a Slack-native marketing analytics tool that delivers daily metric summaries and AI-powered insights to marketing agencies and their clients.

Please read these Terms carefully before using our services. If you do not agree with any part of these Terms, you may not use Nuanso.

To use Nuanso, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

Nuanso is a business-to-business service. By creating an account, you represent that you are acting on behalf of a business entity and have the authority to bind that entity to these Terms.

Nuanso provides the following services:

• Daily marketing briefings delivered via Slack
• AI-powered insights and recommendations based on your marketing data
• Integration with marketing platforms (Meta Ads, Google Ads, Google Analytics, LinkedIn Ads, TikTok Ads, Shopify)
• Performance dashboards and reporting
• Anomaly detection and alerts

We offer a 7-day free trial to new users. During the trial period:

• You have access to all features of the Service
• No payment information is required to start the trial
• The trial automatically ends after 7 days unless you subscribe to a paid plan

At the end of the trial period, your access to the Service will be suspended until you subscribe to a paid plan. Your data will be retained for 30 days after the trial ends, after which it may be deleted.

Nuanso is a paid service. Current pricing is displayed on our website. By subscribing to a paid plan:

• You authorize us to charge your payment method on a recurring basis according to your selected plan (monthly or annual)
• All prices are in EUR and exclusive of applicable VAT
• We reserve the right to change pricing with 30 days notice
• Refunds are provided at our discretion

If payment fails, we will notify you and may suspend your access until payment is resolved.

We offer a limited Lifetime Deal to our first 100 customers at a one-time payment of €100. The following terms apply:

• Access Duration: Your access remains valid for as long as Nuanso continues to operate as a business
• Features: Unlimited access to all current and future features included in the standard plan
• Transferability: The Lifetime Deal is non-transferable and tied to the original purchaser's account
• Availability: Limited to 100 customers total. Once sold out, this offer will no longer be available

When using Nuanso, you agree to:

• Use the Service only for lawful purposes and in compliance with all applicable laws
• Ensure you have the necessary rights and permissions to connect your marketing platforms
• Not attempt to reverse engineer, decompile, or disassemble any part of the Service
• Not use the Service to transmit malicious code or interfere with the Service's operation
• Not resell, sublicense, or redistribute the Service without our written consent
• Comply with the terms of service of any Connected Platforms

You retain all ownership rights to Your Data. By using Nuanso, you grant us a limited license to:

• Access, process, and store Your Data to provide the Service
• Analyze Your Data using AI to generate insights and recommendations
• Use anonymized and aggregated data to improve our Service

We will not sell Your Data to third parties. For details on how we handle your data, please refer to our Privacy Policy.

The Service, including its design, features, content, and underlying technology, is protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted in these Terms are reserved.

• The Nuanso name, logo, and branding are our trademarks
• You may not use our trademarks without prior written consent
• Your use of the Service does not grant you any ownership rights to our intellectual property

Nuanso integrates with third-party platforms to provide its services. You acknowledge that:

• Your use of Connected Platforms is governed by their respective terms of service
• We are not responsible for the availability, accuracy, or functionality of third-party platforms
• Changes to third-party APIs may affect our ability to provide certain features
• You are responsible for maintaining valid connections to your Connected Platforms

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible)
• Unplanned outages or technical issues
• Issues with third-party infrastructure providers
• Force majeure events beyond our reasonable control

We will make reasonable efforts to restore service as quickly as possible during any outage.

To the maximum extent permitted by Belgian and EU law:

• The Service is provided "as is" without warranties of any kind, whether express or implied
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability is limited to the amount you paid us in the 12 months preceding the claim
• We are not liable for decisions made based on AI-generated insights

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or fraudulent misrepresentation.

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) your violation of any applicable law.

We may modify these Terms from time to time. We will notify you of material changes by:

• Posting the updated Terms on our website with a new "Last Updated" date
• Sending an email to your registered email address
• Providing a notification via Slack or the Nuanso dashboard

Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service.

These Terms are governed by Belgian law. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Ghent, Belgium.
